Shopify shareholder proposal pushes for responsible AI policy ahead of June 16 annual meeting, urged to vote against by board

Shopify is facing a shareholder proposal from the Shareholder Association for Research and Education (SHARE), a Canadian non-profit focused on shareholder engagement, asking the board to adopt a responsible AI policy aligned with internationally recognized standards and human rights protections, citing concerns about misinformation, fraud, and privacy risks. Shopify has urged shareholders to vote against the proposal at its June 16 annual general meeting, calling it “a solution in search of a problem” and arguing that AI is “core” to its operations with oversight built into its code of conduct, board expertise, and vendor contracts. SHARE noted Shopify “lags behind several peers” including eBay, which has a responsible AI policy that includes reducing hallucinations and designing non-discriminatory systems, with SHARE also co-filing a similar proposal at Alphabet's upcoming AGM.
