Anthropic wants shareholders to sign off on a special share class that would hand CEO Dario Amodei and the other six co-founders 50.1% of the vote as a group on most corporate matters once it goes public, according to The Information. The structure, modeled on Palantir’s, holds only while three of the seven keep a minimum stake, and the new shares carry no added economic value for founders who each own roughly 2% of the company. Anthropic’s Long-Term Benefit Trust would still pick most of the seven-member board, though founders would name three directors instead of two, and employees would get their own share class to break ties on some issues. The shareholder vote is expected within days, and the IPO now looks more likely in late October or November.
