Global-e to acquire U.S. cross-border e-commerce logistics company Passport for $350M plus up to $75M in earnouts

Global-e, an Israel-based platform for direct-to-consumer cross-border e-commerce, has agreed to acquire Passport, a U.S. cross-border logistics and e-commerce solutions company, for $350M upfront plus up to $75M in contingent payments tied to Passport's 2026 financial results. The deal deepens Global-e's logistics capabilities through Passport's asset-light, multi-carrier network across cross-border, domestic, and last-mile delivery, and adds support for direct injection, consolidated returns, and customs brokerage. Passport will continue to offer a non-Merchant of Record solution, expanding Global-e's reach into a broader range of merchant segments. Passport is expected to generate roughly $100M in 2026 revenue. Founder and CEO Alex Yancher will join Global-e's executive team to lead the integrated Passport business, with the deal expected to close in early July.
